Terms of Service

1. Definitions

• User or you: anyone who accesses or uses the Service.
• Account: your individual user profile, including login credentials.
• Subscription: any paid plan that grants access to paid features.
• Content: text, images, data, and other materials displayed or uploaded by us or by Users.

2. Eligibility

You must be at least 13 years old to use the Service. By registering, you represent that you meet this requirement and have the authority to form a binding contract.

3. Account Registration & Security

• You agree to provide accurate, complete registration information.
• You’re responsible for all activity under your Account.
• Keep your password and any two-factor codes confidential.
• Notify us immediately of any unauthorized use.

We reserve the right to suspend or terminate Accounts at our sole discretion (e.g., if we suspect a security breach or violation of these Terms).

4. Trials, Subscriptions & Payments

Free Trials

We may offer a one-time, time-limited free trial. Trial length and features are subject to change. Cancel before trial end to avoid charges.

Subscriptions

Subscriptions are billed in advance on a recurring basis (monthly or annually). All fees are non-refundable except as provided below.

Payment Processing

Payments are handled by Stripe (or other PCI-compliant providers). By subscribing you authorize us (and our processor) to charge your chosen payment method.

Refunds

Request a refund within 7 days of your initial subscription charge. Refunds after that window are granted only at our discretion. Free trials are not refundable.

5. License & Acceptable Use

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal or organizational needs.

• Do not reverse-engineer, decompile, or extract source code.
• Do not copy, modify, distribute, or create derivative works.
• Do not use the Service to violate laws or infringe others’ rights.
• Do not interfere with or degrade the Service (e.g., by automating massive requests).

6. Intellectual Property

All design, text, graphics, logos, and software underlying the Service are owned by FitForge LLC or its licensors. “AthloForge,” the AthloForge logo, and all related marks are trademarks of FitForge LLC. You may not use them without our prior written permission.

7. User-Generated Content

You retain ownership of any data or content you upload (“User Content”). By uploading, you grant us a worldwide, royalty-free license to use, host, and display your User Content to provide the Service. You represent that you own or have rights to all User Content.

8. Indemnification

You agree to indemnify, defend, and hold harmless FitForge LLC and its affiliates from any claim, loss, liability or expense (including attorneys’ fees) arising out of your use of the Service or your violation of these Terms.

9. Disclaimers & Limitation of Liability

Disclaimer: The Service is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind. We do not guarantee uninterrupted or error-free operation, or that the Service suits your precise needs.

Limitation of Liability: To the fullest extent permitted by law, neither FitForge LLC nor its officers, employees, or licensors will be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use (or inability to use) the Service.

10. Termination

We may suspend or terminate your access at any time, with or without cause or notice. Upon termination, your right to use the Service immediately ceases, and we may delete your User Content in accordance with our Data Retention Policy.

11. Governing Law & Dispute Resolution

Governing Law. These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict-of-law rules.

Mandatory Arbitration; Venue. Any dispute, claim or controversy arising out of or relating to these Terms or the Service (including breach, termination, enforcement, interpretation or validity) shall be finally resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in La Crosse County, Wisconsin. Judgment on the award may be entered in any court of competent jurisdiction in La Crosse County.

Waiver of Jury Trial. To the fullest extent permitted by law, you and FitForge LLC each waive any right to a jury trial in any dispute arising under these Terms.

Equitable Relief Exception. Either party may seek injunctive or other equitable relief in the Circuit Court for La Crosse County, Wisconsin (or the U.S. District Court for the Western District of Wisconsin) solely to prevent unauthorized use of intellectual property or disclosure of confidential information.

12. Changes to These Terms

We may update these Terms periodically. If changes are material, we’ll notify you by email or in-app at least 30 days before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms.

13. Entire Agreement

These Terms (together with our Privacy Policy and any additional terms you agree to) constitute the entire agreement between you and FitForge LLC regarding the Service, superseding any prior agreements.
